Action Item postponed from November 3 -- Trail Naming / Buhler Cutoff
“That the 950 to 1000 foot trail recently constructed and graveled by SWTrails (in 8 days!) located in the Homestead NA which connects SW Terwilliger and the bus stop and pedestrian crosswalk at 4900 SW Barbur Blvd be named the "Buhler Cutoff", in honor of Lee Buhler a long time trails activist, volunteer worker, volunteer recruiter, hike leader and recording secretary.  We also urge the Portland Parks Department to erect signage to make this important connection visible on both Barbur and Terwilliger. The trail meets Barbur opposite the Rasmussen Village Apartments.  The trail meets Terwilliger about 4/10 mile north of the Chart House, at the picnic area at the second turn out/parking area north of the Chart House.” (motion made, seconded, approved 8 in favor, 3 opposed).

Action Items postponed from November 3 Meeting -- Bylaws Revisions
Report from Bylaws Committee and vote on recommended changes.
Motion to postpone to December 1 at 7pm the motion to accept the Bylaws Review Committee changes (motion passed).

Additional proposed amendment to HNA bylaw Article V,  section 2: add: "Terms of officers and directors shall begin the next July 1 following election."

Bylaw revisions

Folks:  We are proposing 5 revisions to those previously posted:

(1) Art. V.1, add a sentence which reads, "Public notice shall be given of such change."  This is what Don Baack suggested at the Oct. HNA meeting.  Note that Art. XI.2 requires such notices to be on the website and in SWNI News.

(2) Art.V.11(b), change the Vice President's Position no. from 2 to 3.  Because we elect odd-numbered positions in odd years, and even positions in even years, the Pres. and VP terms should expire in the same year so the VP could slip into the Pres.'s position.  Thus, in odd-numbered years, we would only elect a Vice President-President-elect.

(3) Art. V.11(b). I suggest we strike the  last two sentences. As Don observed, the secretary already keeps the attendance records, and the President prepares and distributes agendas. See Art.V.11(a).

(4) Art.V.11(c).  Adding the words "membership and board" before "meetings better informs us what minutes the sec. keeps.

(5) Art.VI.4.  Again, as Don pointed out there is some tension between this article and the President's power to appoint committees. We suggest that the Pres. keep the appointive power but that Pres.  can appoint anyone. Note that  the power to vote resides only in HNA members however.

Note that  there is be a green indicator at each of the 5 spots, and a comment explaining the change.
